There is a high demand for financing concepts that do not require a licence (prospectus). Since the amendment of the Investment Act (“Vermögensanlagengesetz”) in 2017, prospectus-free financing models are practically no longer available if offered to the public. Only the narrow exceptions still exist. mzs Rechtsanwälte has been advising initiators and financing companies on the prospectus requirement for financing projects and companies for many years.
